Corporate Governance

With a few exceptions, Danfoss’ Corporate Governance policy complies with the recommendations from OMX, The Nordic Exchange Copenhagen. Danfoss is a family and foundation- owned company and is therefore not subject to the same duties of information as a listed company. Corporate Governance is based on key words such as responsibility and integrity, while openness about the group’s activities plays an important role. It is therefore important that individual managers know how to conduct themselves in this respect and that they act within their own powers and the framework of the law. Danfoss has a two-tier management system consisting of a Board and an Executive Committee. The Articles of Association of the company, its values and regulations as well as a large number of procedures for management and control are also included in Danfoss’ Corporate Governance. Danfoss Corporate Governance rules do not apply to Sauer-Danfoss. Sauer-Danfoss has theirown set of rules.
